GOAT Media Service Agreement

This Agreement is made between:

  1. GOAT Media
  2. “The Client” (yourself).

Definitions

  • Agreement: This document outlining the terms and conditions between GOAT Media and the Client.
  • Client: The individual or entity engaging GOAT Media’s services.
  • GOAT Media: GOAT Media Enterprises Pty Ltd, trading as GOAT Media.
  • GST: Goods and Services Tax as defined by Australian law, currently set at 10%.
  • Proposal: The detailed plan and terms of services provided to the Client.
  • Services: The tasks and projects undertaken by GOAT Media as outlined in the Proposal.
  • Deliverables: The final products or outcomes delivered to the Client.
  • Major Revision: A significant change in the project scope or direction requiring substantial additional work.
  • Payment: All prices are shown in Australian dollars (AUD) and are inclusive of GST unless otherwise stated.

Scope of Services and Specific Terms

1. Project Brief

Service Scope
  • Payment confirms the start of the project, with the client to provide a detailed brief via an onboarding form, which will be emailed upon acceptance of this proposal and receipt of payment.

2. Web Design

Service Scope and Payment
  • A 50% non-refundable deposit is required upon booking confirmation for all website packages.
  • All outstanding balances must be paid within 7 days of receiving the final invoice. Failure to do so may result in additional fees or suspension of the project.
Cancellations and Revisions
  • Cancellations result in forfeiture of the deposit.
  • Any changes in project scope may incur additional charges and affect timelines.
Timeline
  • The initial presentation will be provided within 4 – 6 weeks from the receipt of the completed onboarding form and when all requested information and content has been received from the client. Failure to provide the required information on time may cause delays in the project timeline.
  • Clients are responsible for providing all necessary content and resources unless otherwise agreed upon as outlined in the proposal.
Approval and Handover
  • A review period of 7 days is provided for approval or revision requests. Failure to provide feedback within this timeframe will be considered as acceptance of the work as final. Revisions requested after the final handover are charged at $350 + GST per request unless signed up to a website maintenance plan.

2.1 Website Maintenance Plans

Service Scope and Commitment
  • The Client acknowledges that all content and copy for monthly updates must be provided via a shared Google Drive link.
  • GOAT Media will handle all technical aspects of website maintenance, including backups, updates, monitoring, and issue resolution.
Payment and Commitment
  • By agreeing to this service, the Client commits to the selected plan’s duration and associated fees, payable in advance.

3. Logo Design & Branding

Service Scope and Payment
  • Full payment is required upfront prior to commencement of work and is non-refundable.
Timeline
  • The initial concepts will be presented within 2 – 3 weeks from receipt of the completed brief submitted via our onboarding form, which will be emailed upon acceptance of this proposal and receipt of payment.
Cancellations and Revisions
  • In case of project cancellation prior to commencement, a credit is available for future design services.
  • The project includes unlimited revisions as outlined in the client’s proposal up until a design has been approved in writing.
Design Process and Expectations
  • From time to time, the initial logo design concepts might not perfectly match your expectations because the first round is meant to explore different creative directions based on the brief. This is a natural part of the design process, allowing for experimentation and refinement. With unlimited revisions included, there’s plenty of opportunity to shape the design until it aligns with your vision. Clear and open communication is crucial and will help ensure the final design truly reflects your brand identity.
Textured Mockups and 3D Designs
  • Textured mockups (such as embossed, debossed, or other special finishes) will only be provided once the initial design phase is completed, and only if these mockups are included in the client’s selected package. All logos are designed in a flat, 2D format.
  • The “Express Brand” package does not include textured mockups or 3D logo renderings. Any request for 3D logo designs or additional textured mockups outside of the agreed package will require a separate agreement and may incur additional charges.
Approval and Handover
  • Any requests made after final approval and deliverables have been provided to the client, will be charged at $250 + GST per request.
  • Once the client approves of the primary logo, we will proceed to develop the secondary and sub logos based on the approved primary design.
  • Should the client request a complete redesign of the primary logo concept after approving the primary logo design, this will be treated as a major revision. Such changes will incur a fee of $350 + GST and require a new timeline, to be agreed upon separately.
  • By approving the primary logo, the client acknowledges that all subsequent logos will be developed in alignment with this design and accepts the terms related to major revisions post-approval.
  • Final design files will be provided in agreed formats outlined in the client’s proposal upon completion.

4. Business Name Development

Service Scope and Completion
  • The Business Name Development service includes two rounds of name concepts based on the initial brief provided by the Client. The first round will consist of 5-10 name options, followed by a second round that incorporates any specific feedback provided after the initial presentation.
  • The Client acknowledges that the concepts presented are based on the information provided in the brief and any subsequent feedback. The Client also acknowledges that domain availability and other relevant checks are conducted as part of the name development process.
Concept Acceptance
  • The service is considered complete and the project fulfilled once the second round of name concepts has been delivered. The Client is expected to select a name from the provided options.
  • If the Client chooses not to proceed with any of the names provided in either the first or second round, the project will still be deemed as completed, and no refunds or additional rounds of names will be provided without an additional fee.
Additional Name Concepts
  • Should the Client request further name options beyond the two rounds included in this agreement, these will be provided at an additional fee of $350 + GST per additional round. This fee will be agreed upon and paid before any further work is undertaken.

5. Content Creation

Service Scope and Payment
  • Full payment is required upfront prior to commencement of work.
  • Clients must provide all necessary information and resources unless otherwise agreed.
Revisions and Additional Requests
  • Additional requests or changes may incur extra fees and extend timelines.
Licensing
  • Full payment grants a non-exclusive license to the client for the specified content use.

6. Graphic Design

Service Scope and Payment
  • Full payment is required upfront prior to commencement of work.
  • The project commences upon payment and receipt of the client brief, which will be emailed as an onboarding form upon acceptance of this proposal and receipt of payment.
Revisions and Changes
  • Unlimited revisions are included up until final approval.
  • Any revisions or changes requested after final approval and handover will be charged at $250 + GST per change.

7. Social Media Management (SMM)

Service Scope and Payment
  • First payment is payable monthly in advance. Subsequent payments are set up via direct debit upon acceptance of the proposal and initial payment.
Commitment Period
  • The Social Media Management Service provided by GOAT Media requires a minimum commitment period of three months from the date of agreement acceptance and initial payment.
Client Responsibilities
  • The client is expected to provide timely feedback, necessary information, and access to social media accounts. Delays in providing these may affect the service delivery and outcomes.
Performance Reviews
  • Regular performance reviews will be conducted to assess the effectiveness of the social media strategy and make necessary adjustments.
Confidentiality
  • GOAT Media maintains confidentiality of all client information and access credentials. The client is responsible for maintaining the security of their social media accounts.

Refund and Cancellation Policy

Refunds for Services
  1. Refunds for Services
    • All payments made for services, including but not limited to web design, logo design, branding, content creation, graphic design, business name development, and social media management, are non-refundable once work has commenced.
    • Refunds will not be provided for changes in the client’s business or personal circumstances once the project has started.
Project Cancellation
  1. Project Cancellation
    • If a project is cancelled by the client after payment and commencement of work, no refund will be provided. Any work completed up until the point of cancellation will be delivered to the client.
    • For services where full payment is made upfront, if the project is cancelled before work has begun, a credit may be applied for future services at GOAT Media’s discretion.
Revisions and Changes
  1. Revision and Changes
    • Revisions are subject to the terms outlined in the individual service agreements. Any major revisions requested after final approval will incur additional charges.
    • If the client cancels the project during the revision process, payment for work completed up to that point will be retained, and no refunds will be provided.
Social Media Management Cancellations
  1. Social Media Management Cancellations
    • Cancellations for Social Media Management services require a 30-day written notice. Payments made prior to cancellation are non-refundable. If the client terminates the plan early, they will be invoiced for the remaining contract value as outlined in the service agreement.

Handover of Rights

  • Upon full payment, the client will receive all rights to the final deliverables, including but not limited to logos, graphic designs, and content created by GOAT Media as specified in the proposal.
  • GOAT Media retains the right to showcase these deliverables in its portfolio or promotional materials unless the client requests otherwise in writing before the project commences.
  • The client acknowledges that ownership of the deliverables is granted only once the final payment has been made. Any draft, concept, or unapproved designs remain the intellectual property of GOAT Media.

General Terms

Use of Deliverables for Promotional Purposes
  • GOAT Media reserves the right to use any and all final designs, content, and other deliverables created for clients as part of our portfolio and for promotional purposes.
Client Confidentiality
  • GOAT Media commits to respecting the privacy and intellectual property rights of our clients while using materials for promotional purposes.
Liability and Indemnity
  • GOAT Media is not liable for indirect or consequential damages. The client indemnifies GOAT Media against liabilities from service use.
Governing Law
  • Governed by the laws of New South Wales, Australia.

Acceptance of Terms

By proceeding with the services of GOAT Media, “The Client” acknowledges having read, understood, and agreed to the terms and conditions outlined in this contract.
